Under the direction of the General Counsel, the Corporate Counsel will assist across all legal matters for the firm’s global operations and transactions, including fund formation, capital raising, securities regulation compliance, real estate transactions, and other fund investment matters, and general company legal matters.

 

Essential Functions of the Corporate Counsel

  •  Provide primary legal cover across the entire life cycle of dedicated funds, drafting legal agreements and disclosure, reviewing marketing materials, responding to queries from national and international advisor base, advising on bespoke legal issues from deal teams, and general oversight of the process and deal flow in accordance with broader firm policy and objectives.
  • Work closely with the board of directors, senior management, and business unit leaders to advise on general corporate matters, including private and public company governance and operations.
  • Negotiate contracts, including corporate financings, nondisclosure agreements, side letters, and vendor contracts.
  • Manage external counsel and work with, and supervise designated work of, department paralegals and assistants.
  • Contribute to departmental planning, develop and implement best practices and process improvements inside the legal department and in coordination between business units.
  • Assist on special projects and other responsibilities as assigned.

What you should bring

  • Top academic credentials and ~2-4 years of legal training (private practice and/or in-house).
  • Experience with private fund offerings, corporate governance, mergers & acquisitions, or securities regulations strongly preferred.
  •  Experience working with sophisticated investment fund managers or their clients is a plus.
  • Practical-minded business attorney who is a team player, enthusiastic, energetic, proactive, responsive, and service-driven.
  •  Must be able to build strong personal relationships with management, have a can-do attitude and be able to work to short deadlines when required.
  •  Proven ability to work cross-culturally and bridge cultural barriers and communicate effectively at both local and global levels.
  • Ability to represent the company in a professional manner.
